Terms of service

These Terms of service ("Terms") govern your access to and use of Everync (the "Service"), operated by Everync Software Development Services, a sole proprietorship registered with the Philippine Department of Trade and Industry ("Everync," "we," "us"). By creating an account or using the Service, you agree to these Terms.

This information is provided in line with the transparency requirements of the Internet Transactions Act of 2023 (RA 11967), which requires online merchants to make their business identity and contact details clearly accessible to consumers.

2. Who can use Everync

You must be at least 18 years old and able to form a legally binding contract to use Everync. By signing up, you confirm the information you provide is accurate and that you'll keep your account credentials secure.

3. Your account

You're responsible for all activity under your account. Tell us immediately at support@everync.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or harmful purposes.

4. Free and paid plans

Everync offers a Free plan and a Pro plan. Free plan limits (currently 2 clients, 2 active projects per client) are described on our pricing page and may change with notice. Pro plan pricing is $12/month or $99/year.

Payments are processed by Paddle.com Market Limited, our Merchant of Record. Paddle handles billing, receipts, and applicable tax collection on our behalf. Your purchase is subject to Paddle's own Buyer Terms in addition to these Terms.

We may change pricing for new subscribers at any time. If we change pricing for existing subscribers, we'll give you at least 30 days' notice before it takes effect.

5. Cancellation

You can cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You'll keep Pro access until then, and you won't be charged again after that. See our Refund policy for details on refunds.

6. Your data and content

You own the client, project, task, and invoice data you enter into Everync ("Your Content"). We don't claim ownership of it. We use Your Content only to operate and improve the Service, as described in our Privacy notice.

You're responsible for making sure you have the right to store and process any client information you upload, in line with the Data Privacy Act of 2012 (RA 10173) and any privacy laws that apply where your clients are located.

We aim for high uptime but don't guarantee the Service will be uninterrupted or error-free. We may perform maintenance, and we'll try to give notice for anything that causes extended downtime.

9. Limitation of liability

To the fullest extent permitted under Philippine law, Everync is provided "as is." We are not liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost income or lost data, except where such limitation is not permitted by the Consumer Act (RA 7394) or other applicable law.

You may stop using Everync and delete your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ends, though certain provisions (like limitation of liability) survive.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms or your use of Everync shall first be addressed informally by contacting support@everync.com. If unresolved, disputes shall be brought before the proper courts of the Philippines, without prejudice to any right you have to file a complaint with the DTI's Internet Transactions Bureau under RA 11967.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email or an in-app notice before they take effect. Continued use of Everync after changes take effect means you accept the updated Terms.
